1. Agreement, contracting party, and eligibility
These Terms of Service (Terms) are between Decennium Platforms Limited, a company incorporated in Hong Kong SAR (Decennium, Moduly, we, us, or our), and the person or organisation accepting them (Customer, you, or your). They apply to moduly.club, Moduly workspaces, APIs, integrations, content-generation and review tools, and related services (Service).
You must be at least 18 and able to enter a binding contract. If you use Moduly for an organisation, you confirm that you can bind it and that its authorised users will follow these Terms. Moduly is designed primarily for businesses and professional teams. Any mandatory rights that apply to a consumer cannot be excluded by these Terms.
2. The Service and its boundaries
Moduly helps teams discover pet-market topics, organise brand and product facts, generate and edit marketing material, review claims, obtain human approval, export material, and publish through supported channels. Features, markets, languages, models, connectors, quotas, and beta functions depend on the purchased plan and current product documentation.
Moduly is not a veterinary, medical, legal, regulatory, financial, or advertising-clearance service. Claim Guard and other controls reduce known risks but do not guarantee accuracy, substantiation, legal compliance, platform acceptance, commercial performance, or freedom from complaints. You remain responsible for the final material, evidence, targeting, disclosures, and decision to publish.
3. Accounts, organisations, and authorised users
You must provide accurate account and organisation information, protect credentials and recovery methods, and notify hello@decennium.app promptly of suspected unauthorised access. You are responsible for activity under your organisation, including actions by owners, administrators, editors, reviewers, invited users, and connected-channel accounts.
Organisation owners control membership, roles, brands, approval authority, billing, exports, and deletion requests. We may rely on instructions from verified owners and administrators. Peqaboo or another identity provider may be used to sign in, but Moduly membership, organisation data, permissions, and billing remain separate.
4. Plans, subscriptions, payment, tax, and renewal
Prices, billing currency, interval, included brands, seats, Campaign Packs, media allowances, and add-ons are shown at checkout. Applicable taxes may be added. Stripe or another disclosed payment processor handles payment details; we do not promise that every currency or payment method will always be available.
Paid plans renew automatically for the same interval until cancelled. By subscribing, you authorise recurring charges at the price and renewal date shown at checkout or in Billing. Monthly plans are charged monthly. An annual plan is a single annual commitment and charge, even where its price is described as an equivalent number of monthly fees.
We will give reasonable advance notice of a material renewal-price increase where required. Failed payment may cause a grace period, reduced access, suspension, or termination. You are responsible for accurate billing details and any bank, foreign-exchange, withholding, or similar charges not imposed by us.
5. Cancellation, plan changes, and refunds
An organisation owner may schedule cancellation through the linked Stripe customer portal when self-service cancellation is enabled. If that option is unavailable, email hello@decennium.app from the authorised billing address. Cancellation normally takes effect at the end of the paid billing period, and access continues until then unless law, checkout terms, or a support resolution says otherwise. Deleting an account or disconnecting a channel does not itself cancel a subscription.
Downgrades normally apply at the next renewal and may reduce limits or make excess brands, seats, or assets read-only. Upgrades and usage add-ons may be charged immediately or prorated as shown before confirmation. Refunds and statutory withdrawal rights are described in the Refund & Cancellation Policy, which forms part of these Terms.
6. Usage limits and fair use
Plan allowances are not unlimited. Generation, images, video, storage, brands, seats, exports, connectors, and publishing may be metered. Unless checkout says otherwise, unused monthly allowance does not roll over, and annual-plan allowance may still reset monthly.
We may delay or reject abusive, automated, duplicate, unsafe, technically excessive, or policy-blocked work. We will not charge a successfully rejected job as a completed output where our metering design can determine that outcome. Attempts to evade quotas, split an organisation to avoid limits, or resell access without an Agency or written agreement may lead to suspension.
7. Customer material, Brand Brain, and permissions
Customer Material includes prompts, product facts, evidence, logos, packshots, customer lists, brand rules, drafts, approvals, and other material you submit or connect. You retain your rights in Customer Material. You grant us and our processors a worldwide, limited licence to host, copy, transform, analyse, and transmit it only to operate, secure, support, and provide the Service you request. We do not use Customer Material or Customer Personal Data for independent product improvement or foundation-model training unless you give a separate explicit written opt-in. We may improve reliability and security using Service Data that has been aggregated or de-identified so it cannot reasonably identify you, your organisation, or an individual.
You confirm that you have all rights, notices, consents, and lawful bases needed for Customer Material and its intended use. Catalog, public-web, or pet-knowledge records are research candidates, not proof of ownership, product classification, claim substantiation, or permission to use a logo. Brand-authorised users must confirm material before it becomes trusted brand truth.
8. AI-assisted output and human review
AI output can be incomplete, inaccurate, outdated, biased, similar to third-party material, or unsuitable for a specific market. You must review the complete output, product facts, sources, image text, audio, video transcript, calls to action, links, and required disclosures before approval or use.
As between you and Decennium, and to the extent permitted by law, we assign to your organisation any rights we acquire in output generated specifically for it, subject to payment of any amounts then due under your plan. You may use, edit, reproduce, display, distribute, publish, and provide that output to an authorised client or channel for commercial purposes. Output created during an authorised free trial receives the same assignment and commercial-use rights under this paragraph. This does not transfer rights in the Service, third-party material, stock assets, fonts, models, Catalog sources, or another customer's material, and an Agency must have authority from the relevant client.
We do not guarantee that output is unique, copyrightable, registrable, non-infringing, or exclusive. No output becomes publishable merely because a model generated it or an automated check passed; the exact version must pass required controls and receive authorised human approval.
9. Pet-health claims and regulated marketing
You must not use Moduly to diagnose, prescribe, determine dosage, replace veterinary care, or state that a product cures, treats, prevents, or mitigates disease. Those are absolute P0 prohibited categories. When Moduly detects one, no evidence or brand setting can override the block, and the affected content cannot be approved, exported, or published through the Service. Automated controls do not guarantee that every wording or language will be detected. Other therapeutic, guaranteed-outcome, drug, feed, food, supplement, or regulated claims must not be used without the lawful classification, substantiation, and review required for the target market.
You are responsible for identifying the product class, target market, audience, evidence standard, advertising rules, endorsement disclosures, intellectual-property permissions, platform rules, and any required veterinary, legal, regulatory, or internal review. A no-finding result is not legal approval.
10. Connectors and publishing
When you connect Peqaboo, Meta, or another channel, you authorise Moduly to access and act on that account only within the permissions you grant. You must have authority over the destination and keep its credentials, permissions, audience settings, and commercial-content disclosures accurate.
Publishing requires the exact approved content and may include a Moduly or commercial-partnership disclosure. Third-party services have their own terms, review systems, outages, limits, and removal rights. We are not responsible for a third party rejecting, changing, delaying, removing, or displaying content differently. Disconnecting a connector stops future authorised actions but may not remove content already published.
11. Prohibited use
You must not use the Service, directly or through another person, to:
- break law, platform rules, sanctions, export controls, advertising rules, or another person’s rights;
- create deceptive, defamatory, discriminatory, abusive, exploitative, unsafe, spam, or unlawful direct-marketing material;
- upload personal, confidential, health, payment, or authentication data you are not authorised to process;
- invent product facts, evidence, endorsements, reviews, veterinary approval, safety results, or regulatory status;
- bypass Claim Guard, approval, access control, usage metering, rate limits, security, or source-provenance controls;
- introduce malware, probe systems, scrape private data, reverse engineer the Service except where law permits, or use output to build a competing model or dataset without written permission; or
- present Moduly as emergency, veterinary, medical, legal, or regulatory advice.
12. Moduly intellectual property and feedback
We and our licensors own the Service, software, interfaces, workflows, documentation, policy packs, compilations, designs, trademarks, and underlying technology. These Terms grant only a limited, revocable, non-exclusive, non-transferable right to use the Service during your authorised subscription.
If you provide feedback, you permit us to use it without restriction or payment, but we will not identify you publicly as its source without permission. Third-party sources, Catalog records, model output, stock assets, fonts, and connector content remain subject to their respective rights and notices.
13. Confidentiality, privacy, and security
Each party will use the other party’s non-public information only to perform or receive the Service, protect it with reasonable care, and disclose it only to personnel and providers who need it and are bound to protect it, unless disclosure is required by law. This does not cover information already lawfully known, independently developed, public without breach, or lawfully received from another source.
Our processing of personal data is described in the Privacy Policy. Where we process Customer Personal Data on a business customer's behalf under documented instructions, the Data Processing Addendum forms part of these Terms automatically; a signed Order Form may add lawful customer-specific terms. No online service can guarantee absolute security; both parties must maintain proportionate controls and report suspected incidents promptly.
14. Suspension, termination, and data return
We may suspend or restrict access when reasonably necessary to address security, non-payment, unlawful or prohibited use, risk to people or animals, third-party demands, or material breach. Where practical and safe, we will give notice and an opportunity to remedy. We may terminate for an uncured material breach, repeated breach, insolvency, legal requirement, or discontinuation of the Service.
After termination, your licence ends and published third-party content may remain. Subject to account verification, organisation authority, law, security, and technical feasibility, you may request an export before closure or during any stated retrieval period. Data deletion and legally required retention follow the Privacy Policy. Sections intended by nature to survive—including payment, IP, confidentiality, disclaimers, liability, disputes, and retained records—continue to apply.
15. Warranties and disclaimers
We will provide the Service with reasonable care and skill. Except for that promise and any right that cannot lawfully be excluded, the Service is provided as available. We do not promise uninterrupted operation, error-free output, any ranking or sales result, continued availability of a model or connector, or that every risk will be detected.
You are responsible for backups of exported final material and for professional review appropriate to your product and market. Preview, beta, free, or experimental functions may change or end and are provided without service-level commitments unless we agree otherwise in writing.
16. Liability
Nothing in these Terms limits liability that cannot lawfully be limited, including liability for fraud or fraudulent misrepresentation, or death or personal injury caused by negligence where applicable. Subject to that, neither party is liable for indirect, special, incidental, punitive, or consequential loss, or for lost profit, revenue, goodwill, opportunity, or data, to the extent permitted by law.
Subject to the previous paragraph, Decennium’s total aggregate liability arising from the Service in any 12-month period will not exceed the fees you paid for the Service in that period. This cap does not reduce any mandatory consumer remedy. Different limits apply only if a signed order form or mandatory law says so.
17. Indemnity, disputes, governing law, and contact
If you use Moduly for a business, that organisation will defend and indemnify Decennium against third-party claims arising from its Customer Material, published campaigns, violation of law or third-party rights, or material breach of these Terms, except to the extent caused by Decennium. This obligation does not apply to a consumer where prohibited by law.
Before filing a claim, contact hello@decennium.app and allow both parties a reasonable opportunity to resolve it. These Terms are governed by Hong Kong SAR law and its courts have exclusive jurisdiction, except where mandatory law gives you another forum or protection. The UN Convention on Contracts for the International Sale of Goods does not apply.
We may update these Terms for law, security, product, or commercial changes. We will post the new version and give advance notice of materially adverse changes where required.
